Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AltiLabs LLC ("AltiLabs," "we," "us," or "our"), a limited liability company registered in Phoenix, Arizona, United States, governing your use of the RoCanvas platform, website, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

• You must be at least 13 years of age to use the Service.
• If you are under 18, you represent that you have your parent's or legal guardian's consent to use the Service.
• You must provide accurate and complete information when creating your account.
• You are responsible for maintaining the security of your account credentials.

RoCanvas is a web-based design platform that enables users to create circular icons, profile pictures, logos, and other visual assets, with a particular focus on the Roblox community. The Service includes a canvas editor, design templates, export tools, and Roblox upload integration.

• Account creation requires authentication through Roblox OAuth and email verification.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.
• You may not create multiple accounts or share your account with others.

5.1 Plans

RoCanvas offers the following subscription tiers:

• Free: Limited exports and design storage at no cost.
• Pro: Expanded limits, Roblox upload capability, and additional features for a monthly or annual fee.
• Studio: Unlimited exports, team collaboration features, and API access for a monthly or annual fee.

5.2 Billing

• All payments are processed securely through Stripe.
• Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select.
• Prices are listed in U.S. Dollars (USD) unless otherwise stated.
• We reserve the right to change pricing with 30 days' notice to existing subscribers.

5.3 Free Trials

Certain paid plans may include a free trial period. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and you will be charged the applicable fee.

5.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings or the Stripe customer portal.
• Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then.
• Refunds are generally not provided for partial billing periods. Exceptions may be made at our sole discretion.

6.1 Ownership

You retain all ownership rights to the designs, icons, and other content you create using the Service ("User Content"). AltiLabs does not claim any ownership over your User Content.

6.2 License Grant

By uploading or creating content on the Service, you grant AltiLabs a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, and display your User Content solely for the purpose of operating and providing the Service to you. This license terminates when you delete your content or account.

6.3 Responsibility

You are solely responsible for your User Content and must ensure that:

• You have the rights to use all elements in your designs (including uploaded images, fonts, and assets).
• Your content does not infringe on any third-party intellectual property rights.
• Your content does not violate any applicable laws or regulations.
• Your content does not contain harmful, offensive, or inappropriate material.

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Create, distribute, or store content that is hateful, harassing, threatening, defamatory, obscene, or otherwise objectionable.
• Infringe on intellectual property rights of others, including trademarks, copyrights, or patents.
• Attempt to gain unauthorized access to the Service, other user accounts, or related systems.
• Interfere with or disrupt the Service, servers, or networks connected to the Service.
• Use automated means (bots, scrapers, crawlers) to access the Service without our express written consent.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service for any illegal, fraudulent, or unauthorized purpose.
• Resell, sublicense, or redistribute access to the Service.

The Service, including its design, code, graphics, logos, icons, trademarks, and all other proprietary content, is owned by AltiLabs LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary content without our express written consent.

"RoCanvas" and the RoCanvas logo are trademarks of AltiLabs LLC. You may not use our trademarks without prior written permission.

The Service integrates with third-party platforms and services, including but not limited to Roblox, Stripe, and Supabase. Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the content, policies, or practices of any third-party services.

RoCanvas is not affiliated with, endorsed by, or sponsored by Roblox Corporation. "Roblox" is a registered trademark of Roblox Corporation.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR RESULTS OBTAINED THROUGH THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALTILABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless AltiLabs LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

• You may terminate your account at any time by contacting us or through your account settings.
• We may suspend or terminate your account at any time for violation of these Terms, with or without notice.
• Upon termination, your right to use the Service ceases immediately.
• We may retain certain information as required by law or for legitimate business purposes after account termination.
• Sections that by their nature should survive termination (including Intellectual Property, Disclaimer, Limitation of Liability, and Indemnification) will survive.

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in Phoenix, Arizona, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also provide additional notice (such as email notification). Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and AltiLabs LLC regarding the Service and supersede all prior agreements and understandings.
